1. Who we are and what these terms cover
Posted is a product of Xero. In these terms, "Posted", "we", "us", and "our" mean Xero, Inc., the Xero group company that provides Posted in the United States. "You" means the person using Posted, and if you use it for a business, the business you are authorized to represent.
These terms are a contract between you and Xero, Inc. They cover:
The Posted product, meaning the Chrome extension and the services behind it.
The Posted website, landing page, and waitlist.
By using Posted or the Posted website, you agree to these terms. If you cannot agree to them, you cannot use Posted. Our privacy policy explains how we handle your information and forms part of these terms.
2. Who can use Posted
To use Posted you must be at least 18 years old, able to form a binding contract, and based in the United States. Posted is built for sole proprietors who file Schedule C. If you accept these terms on behalf of a business, you confirm you have the authority to bind it.
3. What Posted does
Posted works alongside Gmail. With your permission, it reads accounting documents in your inbox such as invoices, receipts, and bills, pulls the financial details out of them, and keeps your books, your profit and loss, your Schedule C, and your estimated tax up to date. It runs recurring jobs such as book health checks and cash flow and tax updates, stores invoices, receipts, and CPA-ready packs in your Google Drive when you ask it to, and lets you pay or receive money through the Melio integration.
Posted is in early access. We are still building it, which means features may change, be added, or be removed, and you may run into bugs or downtime. You use Posted at your own risk during this period, and we may modify, suspend, or discontinue any part of it. Where a change is significant, we will make a reasonable effort to let you know.
4. Your account
When you create an account or join the waitlist, you agree to give us accurate and current information and to keep it up to date, including a working email address. You are responsible for keeping your login details secure and for everything that happens under your account. If you become aware of any unauthorized use of your account, tell us straight away at support@posted.ai.
By giving us your email address, you agree that we can send you required notices there. Some notices, such as service and security messages, cannot be opted out of while you have an account.
5. Your Google account
Posted requires Gmail and Chrome. When you connect your Google account, you authorize Posted to read your Gmail to find and process accounting documents, and to store files in your Google Drive using the drive.file access level, which covers only the specific files you use with Posted. Our privacy policy describes exactly how we handle Google user data, including our compliance with the Google API Services User Data Policy and its Limited Use requirements.
You can revoke Posted's access to your Google account at any time through your Google account settings. If you do, Posted will stop working, because it depends on that access. Your use of Google services is also governed by Google's own terms.
6. Payments through Melio
Payments in Posted are provided by Melio, an independent company, and Melio's terms and privacy policy apply to those payments. Xero is not a bank and does not hold your money.
7. Your data
Your data is yours. We do not own the documents Posted reads or the books it builds from them. You grant us a license to host, copy, process, transmit, analyze, and back up your data so we can provide Posted to you, keep it secure, support you, and improve the service, always within the limits set out in our privacy policy, including the Google user data section.
You are responsible for the accuracy and completeness of the source documents and information Posted works from, and for checking the accuracy of any figures you rely on. Data loss is a risk with any technology, so we recommend keeping your own copies of important records. Tax authorities expect you to keep accessible records for several years, and that responsibility sits with you.
8. Posted is not a tax advisor
Posted is a software tool, not an accounting or tax firm. We are not a CPA, tax advisor, enrolled agent, or filing service, and nothing Posted produces is professional tax, legal, accounting, or financial advice. The books, Schedule C figures, estimated tax amounts, and other outputs Posted produces are calculations based on the data available to it. They may be incomplete or wrong, and they depend on the quality of the source documents.
You are responsible for reviewing Posted's outputs, for the accuracy of any tax return or payment you make, and for filing and paying on time. If you are unsure about your tax position, talk to a qualified tax professional. The CPA-ready pack exists to make that conversation easier.
9. What you must not do
When you use Posted, you agree not to:
Break the law or use Posted for anything unlawful or fraudulent.
Undermine the security or integrity of our systems or networks, or access any system without permission.
Upload anything containing viruses or other malicious code.
Interfere with other people's use of the service.
Copy, modify, reverse engineer, decompile, or extract the source code of any part of Posted.
Resell, lease, or provide Posted to others in any way we have not expressly permitted.
Use Posted with a Google account you are not authorized to use.
Abuse or harass our staff. We will not tolerate mistreatment of our people, including our support team.
If you break these rules, we may suspend or end your access.
10. Feedback
We would love your feedback, especially during early access. If you send us ideas, suggestions, or other feedback about Posted, we can use it without restriction and without owing you anything for it. If you want to keep an idea to yourself, do not send it to us.
11. What we own
We own Posted and everything we have put into it, including the software, design, look and feel, and all associated intellectual property, excluding your data and content owned by others. We grant you a limited, revocable, non-exclusive, non-transferable license to use Posted for your own business while these terms apply. You may not use our trademarks or content in any way we have not expressly permitted.
12. Third party services
Posted connects to services run by other companies, including Google and Melio, and may link to third party websites. Those services and sites are governed by their own terms and privacy policies, which you should read. We do not control them and are not responsible for them, and a link or integration is not an endorsement.
13. Availability
We try to keep Posted available and working well, but we do not promise uninterrupted or error-free service, especially during early access. We may need downtime for maintenance and will try to minimize it. Occasionally you may not be able to access Posted or your data for reasons inside or outside our control.
14. Ending your use of Posted
You can stop using Posted at any time. You can revoke Google access through your Google account settings, and you can ask us to delete your account and your data by emailing support@posted.ai.
We may suspend or terminate your access if you breach these terms and do not fix the breach within 14 days of us telling you, if the breach cannot be fixed, or if we reasonably believe there is a legal, security, or fraud risk. We may also end or pause the early access program, or Posted itself, with reasonable notice where practical.
When your access ends, your license to use Posted ends. We handle your data after termination as described in our privacy policy, and you can ask us to delete it. We recommend exporting anything you need before you close your account. Sections 7, 8, 10, 11, and 15 to 19 survive termination.
15. Disclaimer of warranties
Posted, the website, and all related content are provided on an as is and as available basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Posted is accurate, complete, reliable, current, or error-free, or that it is free of viruses or other harmful components.
16. Limitation of liability
To the maximum extent permitted by law:
We are not liable for any loss of revenue or profit, loss of goodwill, loss of data, loss of anticipated savings, tax, legal, or accounting compliance issues, penalties or interest charged by any tax authority, or any indirect, consequential, incidental, punitive, exemplary, or special loss or damage, arising out of or in connection with Posted or these terms.
For loss or corruption of your data, our liability is limited to taking reasonable steps to try to recover that data from our available backups.
Our total aggregate liability to you arising out of or in connection with Posted or these terms, whether in contract, tort including negligence, or otherwise, is limited to one hundred US dollars.
Nothing in these terms limits liability that cannot legally be limited, such as liability arising from our fraud, gross negligence, or willful misconduct.
17. Indemnity
You will indemnify us against losses, costs, and expenses, including reasonable legal costs, that we incur in connection with a third party claim arising from your use of Posted in breach of these terms or in violation of the law, except to the extent the losses arise from our own breach of these terms or our fraud, gross negligence, or willful misconduct.
18. Resolving disputes
Most concerns can be resolved quickly by contacting us at support@posted.ai, so please start there. If we cannot resolve a dispute informally, you and we agree to resolve it through binding arbitration or small claims court, instead of in courts of general jurisdiction. To the extent allowed by law, you and we agree that any dispute must be brought in our individual capacities, and not as a plaintiff or class member in any class or representative proceeding.
These terms are governed by the laws of the State of California, USA, and any dispute that is not subject to arbitration will be heard in California, USA. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.
19. General
Changes to these terms. We may update these terms from time to time. Changes will not apply retrospectively, and if we make a material change we will make every effort to let you know in advance, by email or by a notice in the product or on our website. If you do not accept a change, you can stop using Posted.
Events outside our control. We are not liable for any failure or delay caused by events beyond our reasonable control.
Severability. If any part of these terms cannot be enforced, the rest still applies.
Assignment. We may transfer these terms or our rights and obligations under them to another Xero group company or to a successor of the business, and will give you notice where the transfer relates to a sale or merger of the business. You may not transfer your rights under these terms without our written consent.
No partnership. Nothing in these terms creates a partnership, joint venture, employment, or agency relationship between you and us.
Entire agreement. These terms, together with the privacy policy, are the entire agreement between you and us about Posted and replace any earlier discussions about it.
